Terms of Service

Effective date: 2026-10-21.

Provider: BlueScroll, Inc., a Delaware corporation ("BlueScroll," "Vessel," "we," "us").

Service: Vessel Private Exchange, available at vessel.delivery (the "Service").

1. What the Service Is

Vessel Private Exchange is a private transaction-completion service. Most people who use it have already found each other elsewhere (for example, on Facebook Marketplace or Nextdoor). Vessel can also help you find a buyer or a seller. Vessel provides:

  • Protected payment: the buyer's payment is held by our licensed payment custodian until the buyer accepts the item (Section 5);
  • Courier delivery: a professional courier picks the item up from the seller and delivers it to the buyer, so neither party has to meet the other or share their address (Section 7);
  • Inspection and resolution: a defined window for the buyer to examine the item and accept or return it (Section 6).

Showing your item. When you list an item to sell, we may post it on Vessel's own Facebook Pages for nearby areas, without asking you first. A post may show the item's photos and video, its title, price and city, how delivery is paid, and a short line from what you wrote about it. A post never shows your name, phone number or street. We may mark a post sold, change it when you change your listing, or take it down. Meta, which runs Facebook, then has the post under its own terms. If the box for it is ticked when you publish, we may also show what you are selling on Vessel's Facebook and Instagram pages, shop and ads: its photos, title, price and area. The box starts ticked, and you can untick it before you publish. We pick which items go in our ads. You can stop it from your listing at any time. Meta, which runs Facebook and Instagram, then has the item under its own terms. If you leave the box ticked, you also let us give Meta the right to show this item's photos on its apps.

You can say no to those Page posts at any time. Ask us to stop showing it (Section 19), or tap "Stop showing it" if your listing shows that button. We then take your posts down and stop posting your item.

If you say yes when our assistant asks, we may also show what you are buying or selling to people on Vessel (Section 14). If you are buying and say yes when our assistant asks, we may post a wanted post on Vessel's own Facebook Pages: the item, a price range and the city. A wanted post never shows your name, phone number or street.

Vessel is not a party to the sale. The purchase contract is between the buyer and the seller, even when you found each other through Vessel. Vessel does not set prices and, importantly, does not authenticate, appraise, or verify items (Section 9).

The Service is currently available only in the United States. You must be at least 18 years old and able to form a binding contract to use it.

2. Accounts

You must provide accurate registration information (including a valid mobile phone number, and an email address when we ask for one) and keep it current. You are responsible for activity under your account. We may suspend or close accounts for violation of these Terms, suspected fraud, or legal/compliance reasons.

Texting Vessel's phone number makes a Vessel account for that phone if it does not have one yet. It is the same account you get when you sign in with that number on our website or in our app. A link we text you that opens your own page signs you in to that account.

You can close your account yourself. Open Settings, then Legal & Account, and choose "Close your account".

3. How a Transaction Works

  1. The seller creates a private exchange, entering a description, photos, and the listing price, and shares the private link with their buyer.
  2. The buyer reviews and funds the transaction: the buyer pays the listing price, a protection fee, and their share of delivery (all shown in dollars before payment). Who covers which part of delivery is set before anyone pays (Section 4).
  3. The payment is received and held by our licensed payment custodian (Section 5). The transaction is now "funded."
  4. The seller hands the packaged item to the courier within the hand-off window (Section 8).
  5. The courier delivers to the buyer in person and photographs the hand-off. That scan starts the buyer's 3-hour window to accept or start a return.
  6. On acceptance (or expiration of the 3-hour window without action), the payment is released to the seller, who receives the full listing price (Section 4). On a return, the item is couriered back and the buyer is refunded the listing price and delivery per the Payment and Refund Policy; the protection fee, which pays for the return, is not refunded.

4. Pricing and Fees

  • Listing price. The amount the seller enters is the listing price: the price of the item.
  • Buyer pays: listing price + a protection fee + their share of delivery (all quoted in dollars before payment). The protection fee is consideration for the Service: the protected payment, the courier custody chain, and the return process. Because it pays for the return, it is the one part of the payment that is not refunded when the buyer returns an item; the buyer pays it whether they keep the item or send it back, so returning costs them nothing extra. The buyer is never charged more than the total shown at checkout.
  • Delivery. Delivery is the courier's price plus Vessel's markup on it. The person who starts the deal says the most delivery they will cover, from nothing up to all of it. The other side covers the rest, and agrees to that before anyone pays. A seller never covers more than the listing price. If a seller's share would pass the listing price, the rest is added to the buyer's total, which the buyer sees before paying.
  • Seller receives: the full listing price. The seller pays no fee to Vessel and keeps 100% of the price they set. If the seller covers part or all of delivery, that share is the only thing taken out of what they receive, and the seller sees the amount in dollars before they agree to the deal.
  • Vessel never takes a fee out of the held payment before release or refund.
  • Promotions. Sometimes Vessel pays part of a payment for you, for example your first delivery. When it does, the payment screen shows the amount before you pay, and you are charged the lower total. A promotion is limited to one per person, phone and card. It can be limited to a number of deals, can run out, and can change or end at any time. It is not paid out in cash. If the deal is cancelled before delivery, the promotion is not used up. A promotion never changes what the seller receives.
  • All amounts are in U.S. dollars.

5. Payment Hold: How Your Money Is Handled

When you pay, your card is charged, or held, for the total shown at checkout. A held card is charged when the courier picks up the item. That charge is up to the amount held, and never more. Any part of the hold that is not charged is released back to your card, and your bank decides how soon you see it. If the deal ends before pickup, the hold is released and you are not charged.

Your charged payment is held by our licensed payment custodian. It is held in a Stripe account that BlueScroll controls, and BlueScroll is the merchant of record for the charge. From there, BlueScroll can instruct Stripe to do only one of two things with it:

  1. release the payment to the seller after the buyer accepts the item (or the inspection window expires without action), or
  2. refund the payment to the buyer if the transaction is cancelled, the courier loses or damages the item, the item is marked delivered but never came, or a return is completed under these Terms.

These are the only two things that can happen to a held payment. The Service does not offer wallets, stored balances, credits, or the ability to send money to other users. Held payments are never used by BlueScroll for any purpose.

Maximum hold period. A payment will never be held longer than 30 days from the date it is funded. If a transaction has not completed (accepted, returned, or cancelled) by day 30, the payment is automatically refunded in full to the buyer's original payment method and the transaction is closed. If a refund cannot be completed to the original payment method, we will contact you to arrange it, and any funds that remain unclaimed will be handled as required by applicable unclaimed-property law.

Seller's appointment of BlueScroll. The seller appoints BlueScroll as the seller's limited agent solely for the purpose of arranging collection of the buyer's payment through Stripe and instructing Stripe to disburse it in accordance with these Terms. This appointment does not make payment final before acceptance: the buyer's payment remains conditional, and refundable to the buyer, until the buyer accepts the item under Section 6.

Payment methods. A deal is paid by card only, and a card is the only way to pay you can save to your account. Cash, checks, cryptocurrency, and any payment outside the Service are not supported and are not protected.

Saved cards. Saving a card to your account means this: "We save this card to your account. We may charge it later for things our Terms allow, like a deposit, a payment we retry, or a membership." By saving a card, you agree that we may charge it later while you are not there. We charge it only for a payment you already agreed to, in these Terms or on the screen where you signed up for it. You can remove a saved card in your settings, and we do not charge a card after you remove it.

6. Inspection Window; Acceptance Is Final

  • The buyer has 3 hours from confirmed delivery to either accept the item or start a return in the Service. In the Service this window is called the 3-hour check, the buyer accepts the item with the Keep it button, and starts a return with the Send it back button. The courier hands the item over in person and photographs the hand-off; that scan starts the window. We remind the buyer at the 2-hour mark.
  • No recording is required to open your package. To start a return the buyer adds photos of the problem in the Service, which stops the 3-hour clock. Those photos, together with the courier's pickup and delivery records, are the evidence for a return or a claim. By starting a return the buyer consents to our use of those photos as described in the Privacy Policy, including sharing them with our payment processor in connection with a payment dispute. Photograph only the package and item. Avoid capturing other people. We do not run facial recognition on, or extract biometric identifiers from, return photos.
  • If the buyer does nothing within 3 hours of delivery, the buyer is deemed to have accepted the item and the payment is automatically released to the seller.
  • The 72-hour backstop. No deal stays open forever. By 72 hours after delivery a deal resolves either way. If the buyer has been silent, the item is automatically accepted and the seller is paid. If the buyer started a return but was never offered a pickup slot, the deal parks for our support team and the clock pauses, so a buyer who did their part is never timed out for a delay that was not theirs.
  • ACCEPTANCE IS FINAL. Once the buyer accepts (expressly or by expiration of the 3-hour window), the sale is complete and the payment is released to the seller. After acceptance, the buyer may not return the item, claim it is inauthentic or not as described, or seek a refund through the Service, and the Vessel Guarantee does not apply to the claim. This notice is also presented conspicuously at checkout, and for transactions of $500 or more the buyer must affirmatively acknowledge it before funding.
  • What finality does not do. Finality ends your remedies through the Service; it does not waive rights you cannot waive under applicable law, and it does not release any claims the buyer may have against the seller (for example, for fraud), which remain solely between buyer and seller.

7. Delivery, Privacy Between Parties, Risk of Loss

  • Deliveries are performed by independent third-party couriers (currently Uber Direct and Frayt).
  • What the courier receives. To make a delivery we give the couriers we ask to carry that delivery what a driver needs to find each stop and reach the person there: the name and phone number of the person at the pickup and at the drop-off, the pickup and drop-off addresses, the item's title, the notes for the driver saved with each address and written for that deal, and the tip for the driver. On a return trip the courier gets the notes saved with each address, but not the notes written for the deal. We never give a courier your email address. By using the Service, the buyer and the seller each agree that we share these details with the couriers we ask to carry that delivery, and that the courier or its driver may call or text them about it. If you name another person in a note, you must have their permission, and you should write only what the driver needs. The Privacy Policy lists these details and how long we keep them.
  • Double-blind exchange. Buyers and sellers are not shown each other's name, address, contact details, or notes for the driver. Only the couriers we ask to carry that delivery receive them. We give a courier these details so it can carry out the delivery. What the courier then does with them is governed by its own terms. There is one exception to who sees your name: if you join a deal by texting its code to Vessel's assistant and tell it your first name, we tell the person who made the deal that first name. When both of you text us about a deal, the assistant may pass short messages between you, with phone numbers, email addresses, payment handles and outside links taken out. This confidentiality is subject to the legal-process and safety disclosures described in the Privacy Policy. Do not put personal contact information inside the package or use the Service to arrange off-platform contact.
  • Risk of loss or damage in courier transit is handled per the Payment and Refund Policy: if the courier loses or damages the item after picking it up, the buyer is refunded in full, the seller is still paid in full once we confirm it, and BlueScroll pursues the courier.
  • Marked delivered, but it never came. If the courier marks the item delivered and the buyer tells us within the 3-hour inspection window that it never came, the buyer is refunded in full unless the courier's own drop-off photo shows the item at the door. If the photo does show it, a person on our team decides, and the payment stays held until they do. When the buyer is refunded because no courier photo shows the item at the door, the seller is still paid in full, without waiting for us to confirm the loss, and BlueScroll pursues the courier.
  • The buyer must be available at the delivery address during the delivery window. If a delivery fails because the buyer was not available, we arrange redelivery or resolve the transaction under the Payment and Refund Policy. The buyer is never charged a fee that was not shown to the buyer in dollars before it is charged.

8. Seller Obligations

The seller must:

  • Have full legal title and the right to sell the item; stolen, counterfeit, or encumbered goods are prohibited.
  • Describe the item accurately and completely (condition, defects, included accessories) with truthful photos. "Not as described" returns are judged against the listing.
  • Package the item adequately for courier transport.
  • Hand the packaged item to the courier within 48 hours of the transaction being funded. If the seller misses this window, the transaction is automatically cancelled and the buyer receives a full refund, including the protection fee and delivery. Repeated misses may lead to account suspension.
  • Not deliver anything other than the listed item.

9. No Authentication; Buyer's Responsibility

VESSEL DOES NOT AUTHENTICATE, APPRAISE, GRADE, OR VERIFY ANY ITEM, including luxury goods, collectibles, electronics, or any other category. Vessel makes no representation that any item is genuine, as described, or fit for any purpose.

The buyer is solely responsible for examining the item (including verifying authenticity to the buyer's own satisfaction) within the 3-hour inspection window, and for starting a return within that window if the item is not what the buyer bargained for. The buyer may consult an expert of the buyer's choice during the window; if the buyer needs an expert opinion, the buyer must obtain it within the window or accept the risk. Acceptance is final within the Service (Section 6), and the Vessel Guarantee expressly does not cover authenticity claims raised after acceptance (see Vessel Guarantee Terms). Nothing in this section limits the seller's own liability to the buyer for selling a counterfeit or misdescribed item.

10. Prohibited Items and Uses

You may not use the Service for any item prohibited by law or by our couriers. Our baseline prohibited list follows the Uber Direct U.S. merchant prohibited-items list, including without limitation: firearms, weapons, ammunition; illegal drugs, drug paraphernalia, and cannabis; alcohol and tobacco/vape products; hazardous or flammable materials; stolen goods; counterfeit goods; gift cards and other stored-value instruments; cash, securities, and negotiable instruments; live animals; human remains or body parts; adult content; recalled items; perishables requiring temperature control; and items exceeding courier size/weight limits. This list is not exhaustive; our couriers' own published prohibited-items rules apply in full, and we may refuse any item they will not carry.

Prohibited uses include: money movement for its own sake (using the Service without a bona fide sale of goods), self-dealing (buying from yourself), fee evasion, splitting a transaction to evade limits, harassment of couriers or counterparties, and any fraudulent or unlawful activity. We may cancel transactions, refuse service, freeze a transaction pending review, and report to law enforcement.

11. Chargebacks and Payment Disputes

  • We ask buyers to use the in-Service return and claims process before initiating a card chargeback. It is almost always faster. Nothing in these Terms waives any right you have under card-network rules or applicable law to dispute a charge.
  • Filing a chargeback on a transaction the buyer expressly accepted, or filing one that the card network resolves as unfounded, may result in account closure for abuse of the Service.
  • If a chargeback or payment dispute is lost on a transaction after funds were released to the seller, BlueScroll covers the loss. We do not charge the seller for it, take it out of the seller's future payouts, or invoice the seller. The one exception is a dispute we can prove the seller caused through their own fraud, or by working with the buyer to cheat. Then we may recover the loss from money we would otherwise pay that seller. We never invoice a seller for a chargeback.
  • To defend a dispute, BlueScroll may share transaction evidence (including the listing, any return photos, and the courier pickup and delivery records) with the payment processor and card networks.
  • BlueScroll may suspend accounts with excessive chargebacks or disputes.

12. Vessel Guarantee

Qualifying transactions may be covered by the Vessel Guarantee, subject to its own terms (see Vessel Guarantee Terms), including a coverage ceiling, exclusions (notably post-acceptance authenticity claims), and a claims process. The Vessel Guarantee is not yet funded and is not in effect until BlueScroll announces funding; until then, buyer protection consists of the payment-hold and return mechanics in these Terms.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLUESCROLL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY REGARDING ITEMS SOLD THROUGH THE SERVICE, INCLUDING THEIR AUTHENTICITY, CONDITION, LEGALITY, OR DESCRIPTION. BLUESCROLL IS NOT A PARTY TO THE SALE BETWEEN BUYER AND SELLER. THIS SECTION DOES NOT DISCLAIM THE EXPRESS COMMITMENTS BLUESCROLL MAKES IN THESE TERMS, THE PAYMENT AND REFUND POLICY, OR A FUNDED VESSEL GUARANTEE, AND DOES NOT LIMIT RIGHTS THAT CANNOT BE DISCLAIMED UNDER APPLICABLE LAW.

14. SMS Messaging Program

By providing your mobile number and opting in, or by texting us first, you consent to receive text messages from Vessel, a service of BlueScroll, Inc. This messaging program covers:

  • Sign-in codes: one-time passcodes used to sign in and confirm your identity.
  • Delivery and account updates: texts about your orders, such as when your item is picked up, when it is delivered, and when your inspection window is closing.
  • Help by text: when you text Vessel's phone number, we reply in that conversation, to answer your question or to help you set up and follow a Vessel delivery. Replies may come from our automated assistant.
  • Match texts, offers and reminders, only if you agree: in a text conversation you started, we may ask if we can show what you are buying or selling to people on Vessel within 100 miles, and text you when we find a match, about deals you started, and with offers. They see only the item, photos, price and distance. We do this only if you reply REMIND to that question. If you asked us to find something, we text you about it up to once a day, for up to 60 days. Other texts, like offers and deal reminders, are up to 4 a month. You do not have to agree to use Vessel. Reply STOP to stop all texts from Vessel.

Message frequency varies based on your account activity. Message and data rates may apply depending on your mobile carrier and plan. Carriers are not liable for delayed or undelivered messages. You can cancel the SMS program at any time by texting STOP to any message we send; you will receive a final confirmation that you have been unsubscribed and we will stop sending texts to that number. For help, text HELP or contact us at support@vessel.delivery. Your mobile information and opt-in consent are never shared with third parties or affiliates for marketing. See our Privacy Policy.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) BLUESCROLL IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS; AND (b) BLUESCROLL'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO A TRANSACTION IS CAPPED AT THE TOTAL AMOUNT THE BUYER PAID FOR THAT TRANSACTION (LISTING PRICE PLUS THE PROTECTION FEE AND DELIVERY), AND FOR ANY OTHER CLAIM, AT THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE FEES YOU PAID TO BLUESCROLL IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

This section does not limit: (i) amounts payable to a buyer under a funded Vessel Guarantee, up to the Vessel Guarantee's ceiling; (ii) refunds owed under the Payment and Refund Policy; or (iii) liability that cannot be limited under applicable law, including liability for fraud or willful misconduct. Some states do not allow certain limitations; these apply only to the extent permitted.

16. Indemnification

You will indemnify and hold BlueScroll harmless from claims arising out of your items, your listings, your breach of these Terms, or your violation of law or third-party rights.

17. Dispute Resolution: Arbitration and Class-Action Waiver

PLEASE READ: THIS SECTION AFFECTS YOUR LEGAL RIGHTS. IT REQUIRES INDIVIDUAL ARBITRATION OF MOST DISPUTES AND WAIVES CLASS ACTIONS AND JURY TRIALS. YOU MAY OPT OUT WITHIN 30 DAYS (see "Opt-out" below).

a. Informal resolution first. Before filing an arbitration demand or lawsuit, the party with the dispute must send the other an individualized written notice (for you, by email to legal@bluescroll.com from the email on your account), including your name, account email, a description of the dispute, and the relief sought, personally signed by you. Both parties will try in good faith to resolve the dispute for 30 days from the notice. All applicable limitations periods are tolled during this period. Completing this step is a condition precedent to starting arbitration or litigation.

b. Agreement to arbitrate. Any dispute arising out of or relating to these Terms, the Service, or a transaction that is not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (and, where applicable, its Mass Arbitration Supplementary Rules), as modified by this Section. The rules are available at adr.org. This Section is governed by the Federal Arbitration Act. Judgment on the award may be entered in any court of competent jurisdiction.

c. Delegation. The arbitrator has exclusive authority to resolve disputes about the interpretation, applicability, or enforceability of this arbitration agreement, except that a court of competent jurisdiction decides (i) whether the class-action waiver in subsection (g) is valid and enforceable, and (ii) any dispute arising from or relating to the mass-filing procedures in subsection (f), other than issues the AAA's rules assign to a process arbitrator.

d. Hearing format and location. At your choice, the arbitration will be conducted (i) on written submissions alone (for claims under $25,000), (ii) by video or telephone conference, or (iii) in person in the county where you live. It will not be conducted in a location that is unreasonably inconvenient for you.

e. Fees and costs. Filing, administration, and arbitrator fees are allocated under the AAA Consumer Arbitration Rules. If your filing fee exceeds the cost of filing the same claim in small-claims court, BlueScroll will pay the difference. BlueScroll will not seek its attorneys' fees or costs from you in arbitration unless the arbitrator finds your claim frivolous or brought in bad faith. The arbitrator may award you any individual relief a court could, including attorneys' fees where authorized by law.

f. Mass filings. If 25 or more arbitration demands of a substantially similar nature are filed against BlueScroll by or with the coordination of the same or related counsel, the AAA Mass Arbitration Supplementary Rules apply, including appointment of a process arbitrator for administrative and fee issues. Regardless of any batching or sequencing for administrative purposes, every claimant retains the right to an individual arbitrator, an individual hearing, and an individual ruling on that claimant's own claim, and no claimant is bound by the outcome of any other claimant's case. Nothing in this subsection delays or conditions any claimant's right to bilateral arbitration beyond the procedures in the AAA's published rules.

g. Class-action waiver. ALL CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING, AND THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OR PRESIDE OVER ANY CLASS OR REPRESENTATIVE PROCEEDING. If this waiver is held unenforceable as to a particular claim or request for relief, then that claim or request (and only it) shall be severed and may proceed in court, and the remaining claims proceed in arbitration.

h. Exceptions. Either party may (i) bring an individual claim in small-claims court, or (ii) seek temporary injunctive relief in court for infringement or misuse of intellectual property or unauthorized access to the Service. If applicable law gives you a non-waivable right to pursue public injunctive relief in court, that request for relief is severed and stayed pending arbitration of all other claims.

i. Jury waiver. To the extent any dispute proceeds in court, both parties waive the right to a jury trial to the fullest extent permitted.

j. Opt-out. You may opt out of this arbitration agreement and class-action waiver entirely, with no effect on your ability to use the Service, by emailing legal@bluescroll.com from your account email within 30 days of first accepting these Terms, stating your name and that you opt out of arbitration. Opting out of a later update to this Section leaves the last version you accepted in effect.

k. Severability and survival. Except as stated in subsections (g) and (h), if any part of this Section is found unenforceable, the remainder remains in effect. This Section survives termination of your account or these Terms. Changes to this Section do not apply to disputes for which either party has already provided notice under subsection (a).

18. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules, except that Section 17 is governed by the Federal Arbitration Act, and residents of states with non-waivable consumer-protection rights retain those rights. Subject to Section 17, exclusive venue for any court proceeding is the state or federal courts located in Delaware, and the parties consent to their jurisdiction; this venue clause does not apply to small-claims cases or where applicable law requires otherwise.

19. Changes; Termination; General

We may update these Terms; material changes will be notified (email or in-Service) at least 15 days before taking effect, and do not apply retroactively to transactions already funded. Continued use of the Service after the effective date constitutes acceptance; if you do not agree, stop using the Service before that date. We may suspend or terminate the Service or your account as described in Section 2; funded transactions in flight will be completed or refunded per Section 5. These Terms, the Payment and Refund Policy, the Privacy Policy, and (when in effect) the Vessel Guarantee Terms are the entire agreement. If a provision is unenforceable, the rest remain in effect. You may not assign these Terms; we may assign them in connection with a merger or sale. Notices to you may be sent by SMS or email on file.
